Delphi Verify Terms of Service

Delphi Verify helps users capture media through a supported mobile application, assemble evidence records, publish verification certificates and allow others to inspect those certificates by code or link. The Service may record capture time, device-reported location and accuracy, application and device integrity signals, media hashes, automated risk assessments and related metadata. It may commit cryptographic proof material to a public blockchain network, including the Ethereum Attestation Service on Base mainnet.

We may improve, change or discontinue features. We will give reasonable notice where a change materially reduces a paid Service, unless an urgent security, legal or operational issue prevents it.

A Delphi Verify certificate reports the checks performed on specified media and whether the media and published metadata presented for verification match the values committed when the evidence record was sealed. Depending on the certificate, those checks may include controlled in-app capture, device or application attestation, capture-time and location signals, reproduction screening, automated fraud analysis and cryptographic integrity checks.

These checks are strong technical signals, not absolute guarantees. A certificate does not by itself establish a person's identity or authority; ownership, value, condition or legal title; the accuracy of user-written titles or descriptions; that a scene was not arranged before capture; that everything relevant was captured; what happened before or after capture; or that an asset remains in the condition shown. Automated and AI-assisted assessments are probabilistic and may produce false positives, false negatives or incomplete results.

Delphi Verify is not a law firm, notary, court, regulator or expert witness. We do not provide legal advice or guarantee that a certificate will be accepted, or given any particular weight, by a court, insurer, regulator, lender or other third party.

You must provide accurate account information, keep your credentials secure and promptly tell us if you suspect unauthorised access. You are responsible for activity carried out through your account.

If you use a workspace or account controlled by an organisation, its administrators may manage your access and records. Evidence created for that organisation remains subject to its arrangements with us even if your individual access ends.

You retain ownership of media and other content you submit (Your Content). You grant us a worldwide, non-exclusive licence to host, store, copy, transmit, process, analyse and display Your Content only as needed to provide, secure, support and improve the Service, perform verification, generate certificates and previews, and make content available as you direct. This licence ends when Your Content is deleted, except for records we must retain for security, audit, legal or integrity purposes.

You are responsible for Your Content and for obtaining all rights, permissions and consents needed to capture, process, publish and share it, including where people, private property, personal information, location data or third-party intellectual property are involved.

A public certificate may be opened without an account by anyone who has its code or link. A public code or link is not access control: it can be forwarded, and viewers may copy, download or record what the certificate displays. Before publishing, check the media, description, location privacy setting and metadata you have chosen to disclose. Treat sharing as restricted only where the Service expressly identifies a specific sharing method as private.

You may request deletion of a certificate where the Service allows it. Deletion is irreversible and removes the certificate and its captures from active Delphi Verify systems, subject to backup cycles and limited audit or legal retention. It does not remove a public blockchain record already created.

Cryptographic commitments published to a public blockchain are public, permanent and operated independently of Delphi Verify. They do not contain a copy of the underlying media, but may commit to media, metadata and public verification inputs. We cannot edit, withdraw or delete an on-chain record, and we do not control the network's availability, cost or continued operation.

A blockchain record alone does not reconstruct or interpret evidence. Independent verification also requires the media, metadata and other committed inputs presented with the certificate.

You must not use the Service to:

• —break the law, commit fraud or create misleading evidence;
• —capture, publish or share material without the required rights or permission;
• —infringe privacy, intellectual property or other rights;
• —harass, stalk, surveil, threaten or endanger anyone;
• —upload unlawful, abusive, malicious or harmful content;
• —bypass or manipulate capture controls, attestation, reproduction screening, fraud analysis or other verification measures;
• —gain unauthorised access, introduce malware, overload or disrupt the Service;
• —reverse engineer or test the security of the Service except where applicable law permits it or we have authorised it in writing; or
• —misrepresent what a Delphi Verify certificate proves.

Publishing a certificate may require credits. The applicable credit cost and available balance are shown in the Service or agreed with your organisation. Unless stated in a separate order or required by law, credits are non-transferable, have no cash value and expire only as disclosed when issued or purchased. Prices, taxes, payment terms, refunds and any subscription terms shown at purchase or in a separate order form form part of these Terms.

Our Privacy Policy explains how we process personal information. If we process evidence for an organisation, an applicable data processing agreement may also govern that processing.

We and our licensors own the Service, including its software, applications, APIs, documentation, design, brand and trade marks. We give you a limited, non-exclusive, non-transferable and revocable right to use the Service in accordance with these Terms. No rights are granted except those expressly stated here.

You may stop using the Service at any time. We may suspend, restrict or terminate access where we reasonably believe these Terms have been breached, fraud or unlawful use has occurred, payment is overdue, a security risk exists, or the law requires it. Where practical, we will give notice and a reasonable opportunity to correct a remediable breach.

On termination, your right to use the Service ends. Retention and deletion are governed by the Privacy Policy, any applicable organisation agreement and section 6 above. Provisions that by their nature should survive termination remain effective.

We use reasonable care in providing the Service, but do not guarantee that it will always be available, uninterrupted, secure or error-free, or that every attempted certificate or blockchain publication will succeed. The Service depends on third-party cloud, identity, device, AI and blockchain providers that may change or become unavailable.

To the maximum extent permitted by law, the Service is provided as is and as available, and we disclaim implied warranties of merchantability, fitness for a particular purpose and non-infringement. Nothing in these Terms excludes warranties or consumer rights that cannot lawfully be excluded.

Nothing in these Terms limits liability that cannot legally be limited, including liability for fraud, fraudulent misrepresentation, or death or personal injury caused by negligence where applicable.

To the maximum extent permitted by law, Delphi Verify and its affiliates, officers, employees and contractors will not be liable for indirect, incidental, special, punitive or consequential loss, or for lost profits, revenue, business, data, reputation or opportunity, arising from the Service or reliance on a certificate.

For business users, our total aggregate liability arising out of or relating to the Service will not exceed the fees paid or payable for the Service during the 12 months before the event giving rise to the claim. This cap does not apply where a separate written agreement states another cap. For consumers, liability is limited only to the extent permitted by the mandatory law of the consumer's country of residence.

Business users will indemnify Delphi Verify against third-party claims and reasonable costs arising from their unlawful use of the Service, Your Content, infringement of third-party rights, or material breach of these Terms. This indemnity does not apply to the extent a claim was caused by Delphi Verify.

We may update these Terms by posting a revised version and changing the date above. We will give reasonable notice of material changes to registered users. Changes apply prospectively from their effective date. If you do not accept them, you must stop using the Service. Changes do not override a separate written agreement, and mandatory statutory rights remain unaffected.

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules. The state and federal courts located in Delaware have exclusive jurisdiction over disputes relating to these Terms. If you are a consumer, this clause does not deprive you of mandatory protections or the right to bring proceedings available under the law of your country of residence.

Before starting formal proceedings, you and Delphi Verify agree to try in good faith to resolve the dispute by contacting the other party and allowing 30 days for a response.
